Terms of Use

1. About Arc

Arc is a running and fitness coaching product.

Arc helps users organize and understand information such as:

• running goals;
• training plans;
• planned and completed workouts;
• readiness and other training context;
• activity information;
• coaching conversations;
• reviews and training decisions.

Arc may use artificial intelligence in supported coaching, planning, review, and interpretation workflows.

AI is one component of the product. Not every Arc output or decision is generated by AI.

2. Beta service

Arc is currently offered as a Beta product.

Beta software can change.

Features may:

• be added;
• be modified;
• be removed;
• behave differently as the product develops;
• be temporarily unavailable;
• contain errors or incomplete functionality.

We may change the Beta as we evaluate product quality, safety, reliability, usefulness, and operational requirements.

Participation in the Beta does not guarantee that a particular feature, workflow, integration, plan structure, AI capability, or service will remain available.

We will try to communicate material changes appropriately, but we do not promise that every Beta change will receive advance notice.

3. Eligibility

The initial Arc Beta is intended for individuals who:

• are at least 18 years old; and
• are located in the United States.

By using Arc, you represent that you meet these eligibility requirements.

Arc is not currently intended for children.

Access to the Beta may also depend on an invitation, approved account, or other access criteria established by Run With Arc LLC.

We may refuse, restrict, suspend, or revoke Beta access where reasonably necessary to enforce these Terms, protect Arc or its users, comply with applicable requirements, or manage the Beta program.

4. Your account

You are responsible for maintaining the security of your Arc account and authentication credentials.

You agree to:

• provide accurate information when required for your account;
• keep your account credentials secure;
• not share authentication credentials or codes with unauthorized people;
• promptly notify us if you believe your account has been compromised;
• use only an account you are authorized to use.

You may not impersonate another person or access another user's Arc account without authorization.

You are responsible for activity performed through your account unless applicable law provides otherwise.

5. Your training information and context

You choose what training and contextual information to provide to Arc through supported workflows.

This may include information such as:

• activities;
• goals;
• plans;
• readiness;
• soreness or pain;
• schedule information;
• subjective training feedback;
• coaching questions;
• supported activity files.

You are responsible for the information you intentionally submit and for having any rights or permissions necessary to provide that information to Arc.

Do not upload or submit information that you are not authorized to provide.

Information supplied by you, a device, an imported file, or another source may be incomplete or inaccurate.

Arc's coaching is affected by the information available to it.

6. Activity imports and external information

Arc may allow you to enter activities manually or import information from supported files or services.

For the initial Beta, supported activity imports may include Garmin-compatible CSV or FIT files you choose to provide.

A file originating from another service does not necessarily mean Arc maintains an ongoing connection with that service.

Third-party services are governed by their own terms and policies.

Run With Arc LLC does not control the accuracy, availability, or continued operation of a third-party service merely because Arc can receive or use information originating from it.

7. Coaching and AI

Arc provides software-based running and fitness coaching.

Supported Arc features may use AI to help:

• interpret training context;
• prepare coaching responses;
• prepare training-plan proposals;
• interpret completed activities;
• explain training information;
• identify potentially relevant patterns.

AI systems can make mistakes.

An Arc response may be incomplete, inaccurate, inappropriate for your circumstances, or based on incomplete information.

Arc also uses structured product rules, canonical product state, validation, safety boundaries, deterministic calculations, fallback behavior, and user-review workflows in supported parts of the product.

An AI-generated statement does not override authoritative Arc product state merely because an AI model produced it.

8. Your role in coaching decisions

Arc is intended to assist your training decisions, not remove you from them.

Supported meaningful changes to your training plan or training direction may require your review or confirmation before becoming authoritative within the product.

You remain responsible for deciding whether to follow a workout, recommendation, plan, or coaching suggestion.

You should consider your actual circumstances when making training decisions.

If information in Arc appears incorrect, incomplete, unsafe, or inconsistent with your circumstances, do not rely on it merely because Arc displayed it.

Use available correction, review, or feedback controls where appropriate.

9. Fitness coaching is not medical care

Arc is a running and fitness coaching product.

Arc is not a healthcare provider.

Arc does not:

• diagnose injuries or medical conditions;
• prescribe medical treatment;
• provide medical clearance to train;
• establish that a workout is safe for a particular medical condition;
• replace qualified medical advice, diagnosis, or treatment.

Information you provide about pain, soreness, fatigue, readiness, or similar matters may be considered within supported fitness-coaching workflows.

That does not make an Arc response a medical diagnosis or medical advice.

If you have symptoms, an injury, a medical condition, or another health concern requiring evaluation, seek appropriate advice from a qualified healthcare professional.

If you believe you are experiencing a medical emergency, use the appropriate emergency services available where you are located rather than Arc or Arc Support.

10. No guarantee of results

Running and physical training involve individual variation and risk.

Run With Arc LLC does not guarantee that using Arc will:

• improve your performance;
• result in a particular race time;
• result in weight loss;
• prevent injury;
• prevent illness;
• make training safe in every circumstance;
• produce a particular physical or psychological result.

Training outcomes depend on many circumstances outside Arc's control.

Arc should be treated as a coaching tool, not a guarantee of outcome.

11. Personalization

Arc distinguishes ordinary training history from certain information retained specifically for future personalization.

Supported personalization features may provide controls to:

• view eligible retained context;
• confirm or reject eligible proposed context;
• reconfirm information;
• suppress future use;
• retire information;
• remove eligible retained personalization;
• export retained-personalization information.

The availability and scope of personalization features may depend on the Beta configuration.

Arc does not represent that every interaction is permanently remembered or that retained personalization is used in every coaching decision.

The Privacy Notice and Trust & Transparency page explain the current personalization boundaries in more detail.

12. Feedback and corrections

We welcome feedback about Arc Beta.

If you submit product feedback, bug reports, coaching corrections, or similar communications, you authorize Run With Arc LLC to use that feedback to operate, evaluate, troubleshoot, and improve Arc.

Submitting feedback does not transfer ownership of unrelated personal content to Run With Arc LLC.

If you correct information in Arc, the correction may affect future product behavior where supported.

A correction does not necessarily rewrite historical coaching content that was generated using the information available at the time.

13. Acceptable use

You may use Arc only for lawful personal purposes consistent with these Terms.

You may not:

• access or attempt to access another user's account or information without authorization;
• bypass authentication, authorization, safety, or access controls;
• interfere with or disrupt Arc or its infrastructure;
• probe, scan, or test the vulnerability of Arc without authorization;
• introduce malware or malicious code;
• use automated methods to overload, scrape, or abuse the service;
• attempt to obtain credentials, tokens, secrets, or private information belonging to another person;
• impersonate another person or misrepresent your authorization;
• use Arc to violate applicable law or another person's rights;
• deliberately manipulate Arc in order to cause harm to another person;
• use Arc in a way that materially interferes with other users' access to the service.

Nothing in this section is intended to prohibit legitimate feedback, good-faith reporting of product problems, or security research that Run With Arc LLC has expressly authorized.

14. Privacy and your information

Our Privacy Notice explains how Run With Arc LLC handles personal information associated with Arc.

Our Trust & Transparency page explains Arc's product approach to AI, personalization, data use, athlete control, limitations, and related trust principles.

Those documents serve different purposes from these Terms and should be read together where relevant.

Run With Arc LLC does not sell your personal information.

15. Account deletion

Arc contains an engineered account-deletion system, but self-service account deletion is not enabled for the initial Beta.

For privacy or deletion requests, contact:

Deletion may involve verification of your identity and may require operational processing before completion.

Account deletion is different from ending access to a feature, leaving the Beta, or cancelling a future paid subscription.

The Privacy Notice describes Arc's current deletion and retention practices in greater detail.

16. Third-party services

Arc may rely on third parties to provide functions such as:

• hosting;
• account authentication;
• AI processing;
• optional external information used by supported features.

Your use of a third-party service may also be subject to that provider's own terms and policies.

Run With Arc LLC is not responsible for the independent operation, terms, policies, or availability of a third-party service that we do not control.

This does not limit any responsibility Run With Arc LLC has under applicable law for how we select or use service providers to operate Arc.

17. Intellectual property

Arc, including its software, design, branding, logos, product structure, documentation, and original content provided by Run With Arc LLC, is owned by or licensed to Run With Arc LLC and is protected by applicable intellectual-property laws.

These Terms give you a limited, personal, non-exclusive, non-transferable, revocable right to access and use Arc while you remain authorized to use the service.

These Terms do not transfer ownership of Arc or Run With Arc LLC intellectual property to you.

Your information

You retain whatever rights you have in information and content you provide to Arc.

You grant Run With Arc LLC the limited rights necessary to host, process, reproduce, transmit, and otherwise handle that information for the purposes of:

• providing Arc;
• operating your account;
• providing requested coaching and product features;
• maintaining and protecting the service;
• complying with these Terms and the Privacy Notice.

This permission does not give Run With Arc LLC the right to sell your personal information or use it for unrelated advertising.

18. Availability and changes to Arc

We may modify, suspend, restrict, or discontinue some or all of the Beta.

We may also establish or change reasonable technical, usage, or access limits.

Arc may occasionally be unavailable because of:

• maintenance;
• software errors;
• provider outages;
• infrastructure problems;
• security measures;
• Beta changes;
• circumstances outside our reasonable control.

We do not guarantee uninterrupted or error-free access.

Where practical, we will try to manage material changes in a manner consistent with the nature of the Beta and our commitments to users.

19. Suspension or termination of access

Run With Arc LLC may suspend or terminate your access to Arc if reasonably necessary because:

• you violate these Terms;
• your use creates a security or safety risk;
• your account appears compromised;
• your use materially disrupts Arc;
• we are required to do so by law;
• continued access creates a material operational risk;
• the Beta or relevant feature is discontinued.

Where appropriate, we may provide notice or an opportunity to resolve the issue.

We may act without advance notice where immediate action is reasonably necessary to protect users, Arc, Run With Arc LLC, or another person.

You may stop using Arc at any time.

20. Beta disclaimer

Arc Beta is provided for evaluation and use while the product remains under active development.

To the fullest extent permitted by applicable law, Arc is provided on an “as is” and “as available” basis.

Run With Arc LLC does not make warranties that:

• Arc will be uninterrupted;
• Arc will be error-free;
• every feature will remain available;
• every coaching response will be accurate;
• every training recommendation will be appropriate for every user;
• defects will always be corrected within a particular period.

Nothing in these Terms excludes any warranty, right, or protection that applicable law does not permit us to exclude.

21. Limitation of liability

To the fullest extent permitted by applicable law, Run With Arc LLC and its members, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to Arc or these Terms, including damages associated with:

• loss of use;
• loss of data;
• interruption of service;
• lost opportunities;
• reliance on an inaccurate coaching response;
• reliance on inaccurate or incomplete training information;
• anticipated training or performance outcomes.

To the fullest extent permitted by applicable law, the total aggregate liability of Run With Arc LLC and the parties identified above for all claims arising out of or relating to Arc or these Terms will not exceed the greater of:

1. $100; or
2. the amount you paid directly to Run With Arc LLC for Arc during the 12 months before the event giving rise to the claim.

The limitations in this section apply regardless of the legal theory on which a claim is based, to the extent permitted by law.

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence where liability cannot lawfully be limited, or any other liability that applicable law does not permit us to exclude or limit.

Some jurisdictions do not allow certain exclusions or limitations of liability. In those jurisdictions, these limitations apply only to the extent permitted by law.

The fitness and medical limitations elsewhere in these Terms remain important product boundaries, but this section is not intended to eliminate a right or remedy that applicable law does not allow Run With Arc LLC to waive.

22. Governing law and disputes

Informal resolution first

If a dispute arises between you and Run With Arc LLC, we would prefer to understand and try to resolve it before either party begins formal litigation.

Before filing a lawsuit other than an eligible small-claims action or seeking temporary or emergency injunctive relief, you and Run With Arc LLC agree to make a good-faith effort to resolve the dispute informally for at least 30 days after one party provides written notice of the dispute to the other.

Please include enough information to identify the issue and the resolution you are requesting.

This informal process does not require either party to accept a settlement it considers inappropriate and does not waive any non-waivable legal right.

No mandatory arbitration

These Terms do not require you or Run With Arc LLC to resolve disputes through mandatory arbitration.

They also do not require you to waive participation in a class action or other court procedure that applicable law otherwise permits.

If Run With Arc LLC later proposes a mandatory arbitration provision or a similar material change to the dispute process, that change should be presented as a material change to these Terms rather than silently treated as part of an ordinary website update.

Governing law

Except to the extent applicable law requires otherwise, these Terms and disputes arising out of or relating to Arc are governed by the laws of the State of Tennessee, without regard to Tennessee's conflict-of-law principles.

This choice of law does not deprive you of consumer protections or other rights that applicable law does not permit you to waive by contract.

Courts and venue

Except for an eligible small-claims matter or where applicable law requires otherwise, you and Run With Arc LLC agree that disputes arising out of or relating to Arc or these Terms will be brought exclusively in:

• the appropriate state court located in Shelby County, Tennessee; or
• the United States District Court for the Western District of Tennessee, if federal jurisdiction exists.

You and Run With Arc LLC consent to the personal jurisdiction of those courts for such disputes.

Small claims

Either party may bring an eligible individual claim in a small-claims court or comparable court of limited jurisdiction that has authority over the dispute.

If applicable rules permit, you may bring that individual action either:

• in the jurisdiction where you live; or
• in Shelby County, Tennessee.

The 30-day informal-resolution requirement above does not prevent either party from filing an eligible small-claims action.

23. Changes to these Terms

We may update these Terms as Arc evolves or as legal, operational, or product requirements change.

When we update them, we will change the date at the top.

If a change materially affects your rights or obligations, we will determine what additional notice or agreement is appropriate before the change applies.

Continued use of Arc should not be treated as consent to a material contractual change where applicable law or the nature of the change requires something more.

Changes involving matters such as mandatory arbitration, substantial changes to liability, or materially different data-use rights should receive additional review rather than being treated as ordinary copy changes.

24. General terms

If a provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect unless applicable law requires a different result.

A delay or failure by Run With Arc LLC to enforce a provision does not automatically waive our ability to enforce it later.

You may not transfer your rights or obligations under these Terms without our permission where such a restriction is permitted by law.

Run With Arc LLC may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, financing, or similar business transaction, subject to applicable law.

These Terms, together with any policies or additional terms that are expressly made part of them, constitute the agreement between you and Run With Arc LLC concerning your use of Arc.

Provisions that by their nature should continue after termination—including provisions concerning intellectual property, disclaimers, liability limitations, disputes, and accrued rights—will continue to the extent appropriate and permitted by law.
